1. Acceptance of Terms

By accessing or using StudioPro (the “Service”), you agree to be bound by these Terms of Use (“Terms”). If you disagree with any part of these terms, you may not access the Service.

StudioPro reserves the right to modify these Terms at any time. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

2. Description of Service

StudioPro is a photography studio management platform that provides tools for project management, client communication, gallery delivery, proposal management, and related services. The Service is provided on an “as is” and “as available” basis.

StudioPro is a B2B platform exclusively available to registered business entities, organizations, and professional photography studios. The Service is intended solely for commercial and professional business use. It is not designed for, nor intended to serve, individual consumers for personal use.

StudioPro reserves the right to modify, suspend, or discontinue the Service at any time without prior notice.

3. User Accounts

To use certain features of the Service, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You acknowledge that if you provide any false, inaccurate, or incomplete information, we may suspend or terminate your account.

  • Use another person's account without permission
  • Create multiple accounts for the same purpose without authorization
  • Provide false or misleading information

4. User Responsibilities

You are solely responsible for all content and materials you upload, store, or transmit through the Service. You agree not to:

  • Upload or transmit content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
  • Infringe upon the intellectual property rights of others
  • Upload or transmit viruses, malware, or other harmful code
  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Interfere with or disrupt the Service or servers connected to the Service

5. Intellectual Property Rights

StudioPro and its licensors own all right, title, and interest in and to the Service, including all intellectual property rights. The Service is protected by copyright and other laws.

You retain ownership of any content you upload to the Service. By uploading content, you grant StudioPro a limited, non-exclusive, royalty-free license to use, store, and process such content solely for the purpose of providing the Service to you.

You may not copy, modify, distribute, or create derivative works of the Service or any part thereof without prior written consent from StudioPro.

6. Privacy Policy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you agree to the collection and use of your information as described in our Privacy Policy.

7. Payment and Subscription Terms

Certain features of the Service are available only through paid subscription plans. You agree to pay all fees associated with your chosen subscription plan.

All fees are non-refundable. StudioPro reserves the right to change pricing at any time with 30 days' notice to existing subscribers.

Your subscription will automatically renew unless cancelled at least 30 days before the end of the current billing period.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

StudioPro does not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STUDIOPRO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OR INABILITY TO USE THE SERVICE.

STUDIO PRO'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO STUDIO PRO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless StudioPro, its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) resulting from or arising out of your use of the Service or your violation of these Terms.

11. Data Backup and Security

While StudioPro implements reasonable security measures to protect your data, we cannot guarantee absolute security. You are responsible for maintaining backups of your important data.

StudioPro is not liable for any loss or damage to your data resulting from unauthorized access, data corruption, or other security breaches.

12. Termination

StudioPro may terminate or suspend your account and access to the Service at any time, without prior notice, for any reason, including but not limited to breach of these Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in [City, State], India.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms shall remain in full force and effect and continue to be binding and enforceable.
